This AgileArchive Software License and Subscription Agreement (the “Agreement”) is entered into by and between AgileMatics, LLC (“AgileMatics”) and the customer entity identified in the applicable order, quote, marketplace order, purchase order, statement of work, or online checkout process (“Customer”). AgileMatics and Customer may be referred to individually as a “Party” and collectively as the “Parties”.
1. Definitions
AgileArchive. the software, scripts, application components, connectors, user interface, configuration tools, documentation, templates, deployment artifacts, updates, upgrades, and related materials provided by AgileMatics for archiving SharePoint Online content to customer-controlled Azure Storage.
Authorized Environment. the Customer-controlled Microsoft 365 tenant, SharePoint Online environment, Microsoft Entra tenant, Azure subscription, Azure resource group, storage account, managed identity, application registration, container app, function app, app service, virtual network, and other technical environment approved for use with AgileArchive.
Customer Data. all files, documents, metadata, folder structures, permissions, records, logs, reports, configuration data, SharePoint content, Azure Storage content, and other data supplied by or on behalf of Customer or processed through AgileArchive.
Documentation. the user guides, installation instructions, release notes, technical documentation, support materials, online help, and other written or electronic materials provided by AgileMatics for AgileArchive.
Effective Date. the earliest date on which Customer accepts this Agreement as described in Section 2.1 (including by registering for, downloading, installing, deploying, or using AgileArchive).
Order. an AgileMatics quote, online order, Azure Marketplace private offer, Microsoft marketplace purchase, purchase order accepted by AgileMatics, statement of work, or similar ordering document specifying the subscription, edition, term, fees, scope, support level, and usage limits.
Subscription Term. the subscription period stated in the applicable Order, including any renewal term.
Third-Party Services. Microsoft Azure, Microsoft 365, SharePoint Online, Microsoft Graph, Entra ID, Azure Marketplace, Power Automate, DNS, email, networks, browsers, endpoint devices, backup platforms, identity providers, and other products or services not owned or controlled by AgileMatics.
2. Agreement Acceptance and Authority
2.1 Acceptance. Customer accepts this Agreement by signing an Order, issuing a purchase order accepted by AgileMatics, clicking an acceptance button or checkbox, registering for or downloading AgileArchive, deploying AgileArchive from Azure Marketplace, installing or using AgileArchive, or otherwise accessing the software.
2.2 Authority. The individual accepting this Agreement represents that he or she has authority to bind Customer. If the individual does not have authority, the individual must not accept, register for, download, install, deploy, or use AgileArchive.
2.3 Order of Precedence. If there is a conflict among documents, the following order controls unless expressly stated otherwise in a signed writing by AgileMatics: (a) a mutually signed amendment; (b) the applicable Order; (c) this Agreement; and (d) Documentation. Customer purchase order terms are rejected and have no effect unless expressly signed by AgileMatics.
3. License Grant
3.1 Limited Subscription License. Subject to Customer’s payment of all fees and compliance with this Agreement, AgileMatics grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable subscription license during the Subscription Term to install, access, and use AgileArchive solely for Customer’s internal business purposes in the Authorized Environment and only within the usage limits stated in the applicable Order.
3.2 No Sale. AgileArchive is licensed, not sold. AgileMatics and its licensors retain all right, title, and interest in and to AgileArchive, including all intellectual property rights.
3.3 Affiliates. Customer affiliates may use AgileArchive only if expressly authorized in the Order and only while Customer remains responsible for all affiliate use and compliance.
3.4 Evaluation or Trial Use. If AgileArchive is provided for evaluation, pilot, proof-of-concept, or trial use, it is provided solely for non-production evaluation unless AgileMatics expressly permits limited production testing in writing. Evaluation software is provided “as is,” without support commitments, warranties, indemnities, service levels, or liability except to the extent prohibited by law.
3.5 Free Edition / No-Charge Use. AgileMatics may make a free, no-charge edition of AgileArchive (the “Free Edition”) available for download and use without an Order or payment of fees. The Free Edition is licensed under this Agreement on a limited, non-exclusive, non-transferable, non-sublicensable, revocable basis for Customer’s internal business purposes within the Authorized Environment, subject to any capacity, feature, tenant, site, document-library, storage, user, or job limits AgileMatics designates. The Free Edition is provided “as is” and “as available,” without fees, support commitments, service levels, warranties (other than any non-disclaimable warranties), or indemnities, and the fee, payment, renewal, and Order provisions of this Agreement do not apply to Free Edition use except where expressly stated. AgileMatics may modify, limit, suspend, or discontinue the Free Edition, or require an upgrade to a paid subscription, at any time. The disclaimers in Section 13 and the limitation of liability in Section 14 (including the one hundred dollar ($100) aggregate cap in Section 14.2 where no fees are paid) apply fully to Free Edition use.
4. Customer-Hosted Deployment Model
4.1 Customer Azure Environment. AgileArchive may be deployed into Customer’s Azure subscription or other Customer-controlled Azure environment. Customer is responsible for procuring, configuring, securing, monitoring, paying for, and maintaining all Azure resources, including Azure Storage, compute, networking, managed identities, app registrations, Key Vault, logging, backup, and related consumption charges.
4.2 Microsoft 365 and SharePoint Access. Customer is responsible for granting and maintaining all required Microsoft 365, SharePoint Online, Microsoft Graph, Entra ID, and Azure permissions needed for AgileArchive to operate. AgileMatics is not responsible for delays, failures, throttling, errors, permission denials, conditional access blocks, retention restrictions, data loss prevention rules, legal holds, information barriers, or other Microsoft platform controls that prevent or limit AgileArchive operation.
4.3 Site-Scoped Permissions. Where technically available, AgileArchive should be configured with site-scoped permissions such as Microsoft Graph Sites.Selected or equivalent least-privilege access. Customer remains responsible for approving which SharePoint sites, document libraries, folders, storage accounts, containers, and other resources AgileArchive may access.
4.4 Third-Party Services. AgileMatics does not control Third-Party Services and is not liable for their availability, security, performance, errors, pricing, policy changes, API changes, throttling, service limits, deprecations, outages, or data handling.
5. Permitted Use and Restrictions
Customer shall not, and shall not permit any third party to:
5.1 copy AgileArchive except as reasonably necessary for installation, backup, disaster recovery, or permitted operation;
5.2 sell, resell, rent, lease, sublicense, distribute, assign, transfer, provide service bureau access to, host for third parties, or otherwise commercialize AgileArchive;
5.3 reverse engineer, decompile, disassemble, translate, modify, adapt, create derivative works from, or attempt to discover AgileArchive source code, architecture, algorithms, file formats, APIs, or non-public interfaces, except to the limited extent expressly permitted by applicable law;
5.4 remove or obscure proprietary notices, trademarks, product identifiers, or restrictive legends;
5.5 use AgileArchive for unlawful activity, malicious code, unauthorized access, security circumvention, or violation of third-party rights;
5.6 publish benchmarks, performance tests, comparative analyses, vulnerability reports, or competitive evaluations without AgileMatics’ prior written consent, except as required by law;
5.7 use AgileArchive beyond the licensed capacity, edition, tenant, site, document library, storage, user, job, or other usage limits in the applicable Order or designated for the Free Edition;
5.8 use AgileArchive in a manner that violates Microsoft terms, Azure terms, Microsoft 365 terms, SharePoint Online limits, data protection laws, export controls, or applicable retention policies.
6. Fees, Taxes, Payment, and Renewal
6.1 Fees. Customer shall pay all fees stated in the applicable Order. Fees are non-cancelable and non-refundable except as expressly stated in this Agreement or required by law.
6.2 Taxes. Customer is responsible for all taxes, duties, levies, withholding, bank charges, marketplace fees passed through to Customer, and similar assessments, excluding taxes based on AgileMatics’ net income. Payments must be made free of withholding or deduction unless required by law, in which case Customer shall gross up the payment so AgileMatics receives the full invoiced amount.
6.3 Late Payment. Amounts not paid when due may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. AgileMatics may suspend access, support, updates, or license keys for overdue accounts after reasonable notice.
6.4 Renewals. Subscriptions renew only as stated in the Order or applicable marketplace terms. Unless otherwise stated, renewal fees are at AgileMatics’ then-current rates. Customer is responsible for timely cancellation through the applicable ordering channel.
7. Support, Maintenance, and Updates
7.1 Support Scope. AgileMatics will provide support, if any, according to the applicable support plan, Order, or written support policy. Support does not include custom development, customer environment administration, Microsoft tenant administration, Azure subscription management, data cleanup, legal retention review, backup restoration, or remediation of issues caused by Customer or Third-Party Services unless separately contracted.
7.2 Updates. AgileMatics may provide updates, patches, bug fixes, enhancements, or new versions. Customer is responsible for installing updates promptly, especially security, compatibility, or Microsoft API-related updates. AgileMatics may condition support on Customer running a currently supported version.
7.3 Exclusions. AgileMatics has no support obligation for problems caused by misuse, unsupported configurations, Customer modifications, third-party products, Microsoft platform changes, insufficient permissions, throttling, inadequate Azure resources, failure to follow Documentation, network problems, malware, user error, or use outside the license scope.
8. Customer Data, Backup, Retention, and Compliance
8.1 Customer Control. Customer retains all ownership rights in Customer Data. AgileArchive is intended to process Customer Data within Customer-controlled Microsoft 365 and Azure environments. Unless separately agreed, AgileMatics does not host, retain, or take custody of archived Customer Data.
8.2 Customer Responsibility for Data. Customer is solely responsible for the accuracy, quality, legality, classification, retention, deletion, backup, security, access control, permission model, legal hold status, record status, metadata, and regulatory treatment of Customer Data before, during, and after use of AgileArchive.
8.3 Backup Requirement. Before running archive, delete, move, replace, restore, rehydrate, or bulk update jobs, Customer must maintain independent backups and recovery procedures for all affected SharePoint, Microsoft 365, and Azure data. AgileMatics is not liable for Customer’s failure to maintain backups or for the cost of data reconstruction, restoration, reprocessing, recollection, or regulatory remediation.
8.4 Retention and Legal Holds. Customer is solely responsible for determining whether content may be archived, moved, deleted, replaced with links, stubbed, compressed, encrypted, restored, or otherwise processed under Customer’s records management, retention, eDiscovery, litigation hold, regulatory, privacy, employment, tax, and industry requirements.
8.5 No Legal, Compliance, or Records Advice. AgileMatics does not provide legal, records management, tax, privacy, security, regulatory, or compliance advice. Customer must consult its own professionals regarding retention schedules, legal holds, data residency, privacy obligations, and regulatory requirements.
8.6 Logs and Metadata. AgileArchive may generate logs, reports, job records, diagnostics, checksums, file paths, metadata, and operational records. Customer is responsible for controlling access to those records and determining whether they contain confidential, regulated, or personal information.
8.7 Personal Data and Privacy. AgileMatics’ collection and use of personal information that Customer or its users submit to AgileMatics directly - for example, contact and registration details provided when registering for, downloading, or obtaining support for AgileArchive - is described in the AgileMatics Privacy Policy at https://www.agilearchive.com/privacy, which is incorporated by reference. To the extent AgileMatics processes any personal data on Customer’s behalf as a processor, the Parties will, on Customer’s reasonable request, enter into AgileMatics’ standard Data Processing Addendum (DPA). As described in Section 8.1, archived Customer Data remains within the Customer-controlled environment and is not hosted or controlled by AgileMatics unless separately agreed.
9. Security and Access
9.1 Customer Security Obligations. Customer is responsible for secure configuration of its Microsoft 365 tenant, Azure subscription, identities, conditional access policies, app registrations, managed identities, storage accounts, encryption settings, networking, firewalls, private endpoints, secrets, keys, audit logs, monitoring, and administrator accounts.
9.2 Least Privilege. Customer should grant AgileArchive only the permissions necessary for the licensed use case. Customer is responsible for reviewing, approving, and periodically auditing all permissions granted to AgileArchive.
9.3 Credentials and Secrets. Customer is responsible for protecting credentials, secrets, certificates, tokens, keys, license keys, administrative accounts, and recovery materials. AgileMatics is not liable for unauthorized access caused by Customer’s credential compromise, misconfiguration, or failure to follow security best practices.
9.4 Security Incidents. Customer shall promptly notify AgileMatics of any suspected unauthorized use of AgileArchive license keys, source materials, deployment packages, or support credentials. AgileMatics may suspend access to protect the software, Customer, or other customers.
10. Confidentiality
10.1 Confidential Information. Each Party may receive non-public business, technical, financial, product, security, pricing, roadmap, customer, or operational information from the other Party. Customer Data and AgileArchive non-public product information are Confidential Information.
10.2 Protection. The receiving Party shall protect Confidential Information using at least reasonable care and shall use it only to perform or receive rights under this Agreement. The receiving Party may disclose Confidential Information to employees, contractors, advisors, insurers, auditors, and representatives who have a need to know and are bound by confidentiality obligations.
10.3 Exclusions. Confidential Information does not include information that is publicly available without breach, already known without restriction, independently developed without use of the disclosing Party’s information, or lawfully received from a third party without restriction.
10.4 Required Disclosure. The receiving Party may disclose Confidential Information if required by law, subpoena, court order, regulator, or governmental authority, provided it gives reasonable notice when legally permitted and cooperates with protective efforts.
11. Intellectual Property
11.1 AgileMatics Ownership. AgileMatics owns AgileArchive, Documentation, deployment templates, scripts, code, processes, methods, know-how, improvements, updates, derivatives, and related intellectual property, excluding Customer Data and third-party materials.
11.2 Feedback. Customer grants AgileMatics a perpetual, irrevocable, worldwide, royalty-free right to use suggestions, ideas, enhancement requests, recommendations, or feedback regarding AgileArchive without restriction or obligation.
11.3 Open Source and Third-Party Components. AgileArchive may include or interoperate with open source or third-party components. Those components are governed by their applicable licenses and terms. If there is a conflict, the third-party or open source license controls only with respect to that component.
12. Limited Warranty and Exclusive Remedy
12.1 Limited Software Warranty. For thirty (30) days after the initial paid subscription start date, AgileMatics warrants that AgileArchive will substantially conform to the then-current Documentation when used in accordance with this Agreement, the Documentation, and the Authorized Environment requirements. This warranty does not apply to the Free Edition or evaluation software.
12.2 Exclusive Remedy. Customer’s sole and exclusive remedy, and AgileMatics’ entire obligation, for breach of the limited warranty is for AgileMatics, at its option, to use commercially reasonable efforts to correct the nonconformity, provide a workaround, replace the affected software, or refund the fees actually paid for the affected subscription period, after which the license for the affected software may terminate.
12.3 Warranty Exclusions. The warranty does not apply to the Free Edition, evaluation software, beta features, previews, customer modifications, unsupported environments, third-party services, Microsoft outages or API changes, use outside Documentation, or issues caused by Customer Data, Customer systems, permissions, throttling, retention policies, legal holds, network conditions, security tools, or user error.
13. Disclaimers
13.1 AS IS. Except for the limited warranty expressly stated above, AgileArchive, Documentation, support, updates, reports, templates, deployment scripts, and services are provided “as is” and “as available.”
13.2 Disclaimer of Implied Warranties. To the maximum extent permitted by law, AgileMatics disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, error-free operation, uninterrupted operation, and compatibility with future Microsoft, Azure, SharePoint, or third-party changes.
13.3 No Guaranteed Results. AgileMatics does not warrant that AgileArchive will reduce storage costs by any particular amount, archive any particular volume of data within any particular time, avoid Microsoft throttling, preserve all metadata or permissions in every circumstance, satisfy any legal or regulatory obligation, or prevent data loss, corruption, ransomware, unauthorized access, or business interruption.
14. Limitation of Liability
14.1 Exclusion of Damages. To the maximum extent permitted by law, AgileMatics will not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, punitive, or similar damages; lost profits; lost revenue; lost savings; lost business opportunity; business interruption; reputational harm; loss of goodwill; cost of substitute software or services; storage overage charges; Microsoft licensing or consumption charges; data loss; data corruption; loss of use; failure to restore data; loss of metadata; loss of permissions; compliance penalties; regulatory fines; litigation costs; or costs of data reconstruction, restoration, reprocessing, recollection, or replacement, even if AgileMatics has been advised of the possibility of such damages.
14.2 Aggregate Liability Cap. To the maximum extent permitted by law, AgileMatics’ total aggregate liability for all claims arising out of or relating to this Agreement, AgileArchive, support, services, Documentation, or any Order will not exceed the lesser of: (a) the fees actually paid by Customer to AgileMatics for the affected AgileArchive subscription during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) the refund of fees actually paid for the affected subscription period. If no fees were paid (including for Free Edition or evaluation use), AgileMatics’ aggregate liability will not exceed one hundred dollars ($100).
14.3 Single Aggregate Cap. The liability cap is a single aggregate cap for all claims and all theories of liability, including contract, tort, negligence, strict liability, warranty, indemnity, statute, equity, and otherwise. Multiple claims, incidents, orders, subscriptions, or renewals do not increase the cap.
14.4 Essential Basis. The Parties agree that the fees reflect this allocation of risk and that AgileMatics would not provide AgileArchive without these limitations. The limitations apply even if any limited remedy fails of its essential purpose.
15. Indemnification
15.1 Customer Indemnity. Customer shall defend, indemnify, and hold harmless AgileMatics and its owners, officers, employees, contractors, insurers, and agents from and against claims, damages, liabilities, penalties, fines, costs, and expenses arising from: (a) Customer Data; (b) Customer’s Microsoft 365, Azure, SharePoint, or security configuration; (c) Customer’s violation of law, regulation, retention policy, privacy obligation, or third-party rights; (d) Customer’s use of AgileArchive outside the license scope or Documentation; (e) Customer’s failure to maintain backups; (f) Customer’s instructions to archive, delete, move, replace, restore, or otherwise process data; or (g) Customer’s breach of this Agreement.
15.2 Limited IP Indemnity. Subject to the liability cap and all exclusions in this Agreement, AgileMatics will defend Customer against a third-party claim alleging that unmodified AgileArchive, as provided by AgileMatics and used within the license scope, directly infringes a United States copyright or patent, and will pay final court-awarded damages or settlement amounts approved by AgileMatics.
15.3 IP Exclusions. AgileMatics has no IP indemnity obligation for claims arising from Customer Data, Customer modifications, combinations with non-AgileMatics products or services, use after notice to stop, unsupported versions, open source components, Third-Party Services, Microsoft services, use outside Documentation, or features requested by Customer.
15.4 IP Remedies. If AgileArchive becomes or is likely to become subject to an infringement claim, AgileMatics may, at its option, procure continued use rights, modify the software, replace the software, disable the affected feature, or terminate the affected subscription and refund prepaid unused fees for the terminated portion. This section states AgileMatics’ entire liability and Customer’s exclusive remedy for IP claims.
16. Term, Suspension, and Termination
16.1 Term. This Agreement begins on the Effective Date and continues until all Orders expire or are terminated and Customer ceases all use of AgileArchive, including the Free Edition.
16.2 Suspension. AgileMatics may suspend licenses, support, updates, activation, or access if Customer fails to pay, exceeds license limits, creates security risk, violates this Agreement, infringes AgileMatics’ rights, or uses AgileArchive unlawfully or outside scope.
16.3 Termination for Cause. Either Party may terminate an Order or this Agreement for material breach if the breach is not cured within thirty (30) days after written notice. AgileMatics may terminate immediately for non-payment after notice, unauthorized use, reverse engineering, IP infringement, unlawful use, or breach of confidentiality. AgileMatics may terminate or discontinue Free Edition access at any time.
16.4 Effect of Termination. Upon expiration or termination, Customer shall stop using AgileArchive, uninstall or disable the software, delete or return AgileMatics Confidential Information, and certify compliance upon request. Termination does not relieve Customer of payment obligations accrued before termination.
16.5 Customer Data After Termination. Customer remains responsible for all Customer Data stored in its SharePoint, Microsoft 365, and Azure environments. AgileMatics has no obligation to retain, export, restore, or delete Customer Data unless separately contracted.
16.6 Survival. Sections concerning fees, restrictions, ownership, confidentiality, customer data responsibility, disclaimers, limitation of liability, indemnity, termination effects, audit, governing law, and general provisions survive termination.
17. Audit and License Compliance
17.1 Compliance Records. Customer shall maintain reasonable records showing compliance with license scope, usage limits, subscription terms, and payment obligations.
17.2 Audit. Upon reasonable notice, AgileMatics may request certification or audit information to verify compliance. If an audit reveals underpayment or overuse, Customer shall promptly pay applicable fees, audit costs if the underpayment exceeds five percent (5%), and any support reinstatement or true-up fees.
18. Professional Services
18.1 Separate Services. Installation assistance, configuration, custom scripts, migration planning, data analysis, training, consulting, custom development, and managed archive operations are professional services only if stated in a separate Order or statement of work.
18.2 Customer Review. Customer is responsible for reviewing, testing, approving, and backing up any configuration, rule, script, job, workflow, or deployment before production use.
18.3 No Managed Service Unless Stated. AgileMatics is not acting as Customer’s managed service provider, records manager, cloud administrator, security administrator, backup provider, or compliance officer unless expressly agreed in a signed statement of work.
19. Marketplace, Resellers, and Procurement Channels
19.1 Marketplace Purchases. If Customer acquires AgileArchive through Azure Marketplace or another marketplace, marketplace terms may govern billing, taxes, cancellation mechanics, and procurement workflow. This Agreement governs AgileArchive licensing and use unless the marketplace requires different mandatory terms.
19.2 Resellers. If Customer purchases through a reseller, distributor, or partner, AgileMatics is not responsible for reseller representations, discounts, refunds, financing, procurement delays, or non-AgileMatics commitments.
20. Export, Government Use, and Compliance with Laws
20.1 Export. Customer shall comply with all applicable export control, sanctions, and anti-corruption laws and shall not use AgileArchive in embargoed countries, for prohibited end users, or for prohibited end uses.
20.2 Government Use. AgileArchive is commercial computer software. Government customers receive only the rights expressly granted in this Agreement.
20.3 Compliance. Each Party shall comply with laws applicable to its own performance. Customer is responsible for laws applicable to Customer Data and Customer’s use of AgileArchive.
21. Governing Law, Venue, and Dispute Resolution
21.1 Governing Law. This Agreement is governed by the laws of the State of Georgia, without regard to conflict of law rules.
21.2 Venue. The state and federal courts located in Fulton County, Georgia shall have exclusive jurisdiction and venue for disputes arising out of or relating to this Agreement, unless a different venue is required by law or selected in a signed Order.
21.3 Injunctive Relief. Either Party may seek injunctive or equitable relief to protect intellectual property, confidentiality, security, or unauthorized use rights without posting bond to the extent permitted by law.
22. General Provisions
22.1 Assignment. Customer may not assign this Agreement without AgileMatics’ prior written consent. AgileMatics may assign this Agreement in connection with a merger, acquisition, corporate reorganization, sale of assets, or transfer to an affiliate.
22.2 Force Majeure. Neither Party is liable for delay or failure caused by events beyond reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or cloud outages, Microsoft outages, governmental actions, power failures, cyberattacks, or supply chain disruptions. Payment obligations are not excused by force majeure.
22.3 Notices. Notices must be provided in writing to the addresses or email contacts stated in the Order or otherwise designated by the receiving Party. Notices to AgileMatics may be sent to support@agilearchive.com and 3260 Chadbourne Trl, Alpharetta, GA 30004
22.4 Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remaining provisions remain in effect.
22.5 Waiver. Failure to enforce a provision is not a waiver. A waiver must be in writing and signed by the waiving Party.
22.6 Entire Agreement. This Agreement, together with the applicable Order and any signed amendments, is the entire agreement regarding AgileArchive and supersedes all prior or contemporaneous proposals, representations, and understandings.
22.7 No Third-Party Beneficiaries. There are no third-party beneficiaries under this Agreement, except that AgileMatics’ affiliates, licensors, insurers, officers, employees, contractors, and agents are intended to benefit from, and may enforce, the protections and limitations made for AgileMatics’ benefit.
22.8 Changes to These Terms. AgileMatics may update this Agreement from time to time. AgileMatics will post the updated Agreement with a revised “Last updated” date and, for material changes, will provide reasonable notice (for example, by email or a notice on the AgileArchive website) where practicable. Changes are effective when posted unless a later effective date is stated. Customer’s continued registration for, access to, or use of AgileArchive after the effective date constitutes acceptance of the updated Agreement. If Customer does not agree to the updated Agreement, Customer must stop using AgileArchive.
